Terms of Service

1. Acceptance of Terms

By browsing this website, requesting a growth audit, or executing a Statement of Work (SOW) or invoice with NYV Digital, you agree to be bound by these Terms of Service. If you are entering into this Agreement on behalf of a company, transportation fleet, or legal entity, you represent that you have the legal authority to bind such entity to these Terms.

2. Scope of Services

NYV Digital delivers specialized, revenue-focused growth engineering tailored for luxury ground transportation companies, including:

• Google Ads & Paid Search Management: Single-airport campaign partitioning (JFK, LGA, EWR, ORD, MDW, MIA, etc.), 300+ term negative keyword shields, high-converting mobile fleet funnels, and offline conversion tracking.
• Local SEO, Map Pack & AI Overviews (GEO/AEO): Schema optimization, suburb corridor citations, Google Business Profile ranking strategies, and AI search citation readiness.
• GoHighLevel (GHL) CRM Architecture: Automated missed-call text-back, instant speed-to-lead routing, multi-channel lead capture pipelines, and automated review generation.
• Conversion Funnels & Speed-to-Lead Workflows: Mobile-first landing pages, instant quote confirmations, and automated notifications to alert your team within seconds of new inquiries.
• Revenue Attribution & Reporting: Direct synchronization with LimoAnywhere, Moovs, or GoHighLevel to report true cost per booked ride and gross revenue generated.

Specific deliverables, project milestones, and management terms for active clients are formally specified in individual Statements of Work (SOW) or Service Orders.

3. 100% Asset Ownership Guarantee

• Advertising Accounts: All Google Ads, Microsoft Advertising, and Meta Ads accounts are created under or linked directly to your company's billing profile. You own all campaign structures, conversion tags, negative keyword libraries, and audience lists from Day 1.
• CRM & Lead Data: All GoHighLevel sub-accounts, contact databases, dispatch conversation histories, and automations belong exclusively to you.
• Web Assets & Creatives: All custom landing pages, vehicle showcase graphics, and copywriting created during a paid engagement become your sole property upon invoice settlement.
• Unrestricted Administrative Access: You retain full Admin/Owner permissions on all accounts throughout our entire engagement and thereafter.

4. Client Responsibilities

To ensure peak campaign efficiency and rapid lead conversion, Client agrees to:

• Provide administrative access to existing Google Ads, Google Search Console, and Google Business Profile properties where required.
• Maintain active licensing, insurance, TLC/DOT/PUC permits, and airport operating authorizations required in your operational jurisdictions.
• Ensure internal dispatchers or automated AI systems respond promptly to inbound reservations, quotes, and phone leads generated by the campaigns.
• Keep a valid payment method on file for direct third-party advertising network charges (Google Ads).

5. Direct Ad Spend Separation

Complete Financial Transparency: NYV Digital does NOT mark up media ad spend or bundle advertising budgets into opaque "all-in-one" management fees.

• Direct Billing: All advertising spend (Google Ads clicks, Microsoft clicks) is billed directly by Google or Microsoft to the Client's corporate credit card on file.
• Fee Clarity: Our agency retainer fee covers only expert campaign architecture, negative keyword monitoring, bidding algorithm tuning, landing page optimization, and technical CRM management.

6. Retainers & Payment Terms

• Retainer Billing Cycle: Management retainers are billed monthly in advance on a recurring 30-day billing cycle.
• Accepted Payment Methods: Major credit cards (Visa, MasterCard, American Express), automated ACH bank transfers, and corporate wire transfers.
• Late Payments: Invoices unpaid after 7 calendar days from the due date may result in a temporary pause of active campaign management and CRM optimization until the balance is settled.

7. Performance Standards & Search Engine Realities

NYV Digital employs rigorous, senior-level growth engineering backed by verified case study benchmarks. However, Client acknowledges and agrees that:

• Search engines (Google, Microsoft) and AI platforms (OpenAI, Perplexity, Google AI Overviews) are independent third-party entities with proprietary, dynamic ranking algorithms that change frequently.
• No ethical agency can or should guarantee a specific fixed organic ranking position on Google Search or an absolute fixed cost-per-click, as auction costs are dictated by live competitor market bidding.
• We guarantee rigorous execution of agreed optimization roadmaps, continuous A/B split testing, negative keyword shielding, and transparent live conversion tracking.

8. Intellectual Property & IP Rights

• Client Property: Client retains all rights, title, and interest in its trademarks, logos, vehicle photos, proprietary pricing matrices, and customer data.
• Work Product: Custom marketing materials, ad copy, and landing pages developed specifically for Client belong to Client upon receipt of full payment.
• Agency Pre-Existing IP: Proprietary internal auditing tools, generic automation scripts, and generalized methodology frameworks developed by NYV Digital prior to or outside the scope of the specific client engagement remain the intellectual property of NYV Digital.

9. Non-Disclosure & Confidentiality

Both parties agree to treat all business, financial, operational, customer list, and technical information disclosed during the engagement as strictly confidential. Neither party will disclose proprietary information to third parties without prior written consent, except as required by law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NYV Digital, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of revenue, business interruption, or loss of data) arising out of or related to our services.

Our total aggregate liability under this Agreement shall not exceed the total management retainer fees actually paid by Client to NYV Digital during the three (3) months immediately preceding the event giving rise to the claim.

11. Cancellation & Offboarding

We believe our performance should earn your ongoing business every month. Following the completion of any initial onboarding sprint defined in your SOW, retainers operate on a flexible month-to-month basis with a 30-day written cancellation notice.

Upon cancellation, we execute a comprehensive, frictionless offboarding handoff: all admin controls remain with you, all negative keyword lists and CRM automations remain active, and we provide complete documentation for internal continuity. 12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith mutual negotiation between executive representatives of each party before initiating formal legal proceedings.
